Terms of Service

Not legal advice. This is a reasonable starting point for a small SaaS. Consult a lawyer before relying on it for a real business.

1. Acceptance of Terms

By accessing or using MakeShipHappen (the "Service"), including any of its products like ShipCode, ShipMind, ShipSpace, or ShipTalk, you agree to be bound by these Terms. If you don't agree, don't use the Service.

2. The Service

MakeShipHappen is a platform of developer tools, including an AI-powered terminal coding assistant (ShipCode), a second-brain application (ShipMind), a desktop development environment (ShipSpace), and a voice-to-text tool (ShipTalk). The Service may change over time. Features may be added, modified, or removed.

3. Account Registration

You must be at least 18 years old to create an account. You must provide accurate, current information when registering. You're responsible for keeping your password secure and for all activity under your account. Tell us immediately if you suspect unauthorized access at hello@makeshiphappen.tech.

4. Subscriptions and Payment

MakeShipHappen offers Free, Pro ($29/month), and Team ($79/month) plans. Paid subscriptions are billed monthly in advance. Payments are processed by Stripe — we don't store your card details. Subscriptions auto-renew until you cancel. You can cancel at any time from your account settings, and your access continues through the end of the current billing period.

5. Refund Policy

First-time subscribers get a 14-day no-questions-asked refund. Email hello@makeshiphappen.tech within 14 days of your first charge and we'll refund you in full. After 14 days, refunds are at our discretion.

6. Acceptable Use

You may not: (a) resell or sublicense the Service without permission, (b) abuse the infrastructure (excessive automated traffic, attempts to exploit rate limits), (c) use the Service for illegal activity, (d) scrape or reverse-engineer proprietary parts of the Service, (e) impersonate another person or misrepresent your affiliation. We reserve the right to terminate accounts that violate these rules.

7. Intellectual Property

We own the software, branding, and content of the Service. You own your code, your prompts, and your AI conversations. ShipCode runs on your machine and modifies files you control — those files are yours.

8. User Content and Data

When you use the Service, we process minimal usage data (commands run, feature usage, errors) for analytics and product improvement. We do NOT see your AI conversations — those go directly from your machine to the AI provider you've configured. We do NOT see your API keys — those stay on your machine. 9. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Supabase (authentication and database), Sentry (error reporting), and AI model providers (Anthropic, OpenAI, Groq, Google, OpenRouter, and Ollama). Your use of those providers is subject to their own terms and privacy policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. AI-generated output may be inaccurate, incomplete, or inappropriate for your use case. You are solely responsible for reviewing, testing, and applying any code ShipCode produces. Do not use ShipCode-generated code in safety-critical systems without independent review.

11. Limitation of Liability

To the maximum extent permitted by law, MakeShipHappen's total liability to you for any claim related to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Termination

You can cancel your subscription and delete your account at any time. We may suspend or terminate accounts that violate these Terms, with or without notice for severe violations. On termination, your subscription ends and your data is deleted per our retention policy.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we'll notify you by email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which MakeShipHappen is registered, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of that jurisdiction.
